Continuing Legal Education (CLE)

Continuing Professional Education (CPE)

Participants will be eligible for up to 4.5 Business Law CPE credits.

The NASBA requires the disclosure of the following information to candidates for CPE credit, in addition to the information available in other areas of this web site:

Intended Learning Objectives:
  • Learn about pre-deal strategies, including the pros and cons of auctions and how to use LOIs to position negotiations.
  • Review the economics, trends, and outlook of today’s M&A transaction market including financing for transactions.
  • Analyze the considerable legal and business complexities that arise when selling or buying a business.
  • Learn how to effectively present and position a business for sale.
  • Hear about the complexities and unique aspects of global M&A.
  • Learn how to negotiate and document deferred payment mechanics to reduce post-closing dispute risk and also the issues the can arise when using deferred payment mechanisms.
  • Recognize “market” and “non-market” deal terms, including whether there is a “market” for certain terms.
